General Terms and Conditions

In these General Terms and Conditions:

ME Logistics Solutions: ME Logistics Solutions, operated by Mehmet Erdem.

Client: Any legal entity or individual entering into an agreement with ME Logistics Solutions.

Services: All interim management services, consultancy services, product supply, and installation activities provided by ME Logistics Solutions.

Agreement: Any agreement between ME Logistics Solutions and the Client, including these General Terms and Conditions.

2.1 These General Terms and Conditions apply to all offers, quotations, agreements, and services provided by ME Logistics Solutions.

2.2 Any deviations from these terms are only valid if agreed upon in writing.

2.3 The applicability of the Client’s general terms and conditions is explicitly excluded.

3.1 ME Logistics Solutions provides interim logistics management, advisory services, and warehouse safety solutions, including supply and installation of protective products.

3.2 All services are performed on a best-effort basis, unless explicitly agreed otherwise in writing.

3.3 ME Logistics Solutions has the right to engage third parties for the execution of services if required.

4.1 The Client shall provide all information, data, and access required for the proper execution of the services in a timely manner.

4.2 The Client is responsible for the accuracy and completeness of the information provided.

4.3 The Client ensures a safe working environment when services are performed on-site.

5.1 Fees are based on the rates agreed upon in writing or as stated in the quotation.

5.2 All prices are exclusive of VAT and other applicable taxes, unless stated otherwise.

5.3 Invoices must be paid within 14 days of the invoice date, unless agreed otherwise in writing.

5.4 In case of late payment, statutory interest and collection costs may be charged.

6.1 Delivery times for products are indicative unless explicitly agreed otherwise.

6.2 Risk of delivered products transfers to the Client upon delivery.

6.3 The Client is responsible for ensuring that installation locations are suitable and accessible.

7.1 ME Logistics Solutions is only liable for direct damage caused by gross negligence or willful misconduct.

7.2 Liability is limited to the amount invoiced for the relevant service or assignment, with a maximum of the amount covered by ME Logistics Solutions’ liability insurance.

7.3 ME Logistics Solutions is not liable for indirect or consequential damages, including loss of profit, business interruption, or reputational damage.

7.4 Interim management services do not constitute guarantees of specific business results.

8.1 ME Logistics Solutions is not liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to strikes, pandemics, government measures, supply chain disruptions, or technical failures.

9.1 Both parties shall treat all confidential information obtained during the execution of the Agreement as strictly confidential.

9.2 Confidentiality obligations remain in force after termination of the Agreement.

10.1 All documents, reports, advice, and materials provided by ME Logistics Solutions remain its intellectual property, unless agreed otherwise in writing.

10.2 The Client may use provided materials solely for internal purposes related to the Agreement.

11.1 Either party may terminate the Agreement in writing, subject to agreed notice periods.

11.2 ME Logistics Solutions is entitled to immediate termination if the Client fails to meet payment obligations.

11.3 Upon termination, all outstanding invoices become immediately due.

12.1 All Agreements and these General Terms and Conditions are governed by Dutch law.

12.2 Any disputes shall be submitted exclusively to the competent court in the Netherlands.
